Filing Requirement

Who must file Form 5472?

Foreign-owned US single-member LLCs treated as disregarded entities under Treas. Reg. §301.7701-2(c)(2)(vi), and 25% foreign-owned US corporations, that had reportable transactions with foreign related parties during the tax year.

What is a "reportable transaction"?

Any monetary or non-monetary transaction between the reporting LLC/corporation and a foreign related party, including capital contributions, distributions, loans, payments for services, sales, rents, and royalties. Defined in Treas. Reg. §1.6038A-2.

Does the formation of the LLC count as a reportable transaction?

Yes. Funding the LLC at formation (capital contribution from the foreign owner to cover state filing fees, registered agent fees, and bank deposits) is a reportable transaction.

My LLC had no revenue. Do I file?

Almost always yes. The threshold for reportable transactions is low. Even a $100 capital contribution at formation triggers the filing requirement. Form 5472 is based on transactions, not revenue.

Does Form 5472 apply if my LLC has only US bank accounts and US clients?

Yes if the LLC is foreign-owned. The §6038A obligation applies based on ownership (foreign owner) and related-party transactions, not based on where the LLC's bank accounts or clients are located.

Deadlines

When is Form 5472 due?

April 15 of the year following the tax year, for calendar-year filers, which is the default. October 15 if a Form 7004 extension is filed by April 15. The full annual calendar sets this against the state deadlines.

Can I get an extension?

Yes. File Form 7004 by April 15 to obtain an automatic 6-month extension to October 15. Form 7004 must be filed by the original April 15 deadline.

What if my LLC has a fiscal year other than calendar year?

The deadline is the 15th of the fourth month after fiscal year-end. Form 7004 extension follows the same pattern.

When is the Form 5472 due for an LLC formed mid-year?

For an LLC formed in 2025 with reportable transactions in 2025, Form 5472 is due April 15, 2026 (with extension to October 15, 2026).

Penalties

What is the penalty for not filing?

$25,000 per failure under IRC §6038A(d)(1). Stacks per year per LLC. Continuation penalty under §6038A(d)(2) of $25,000 per 30-day period (or fraction) accrues after IRS notification and the 90-day notice period.

Is there a maximum penalty cap?

No. The continuation penalty under §6038A(d)(2) does not have a statutory maximum. It accrues every 30 days until Form 5472 is filed.

Does the statute of limitations protect me from old unfiled years?

No. IRC §6501(c)(8) tolls the SOL on the entire return until Form 5472 is filed. The IRS retains assessment authority indefinitely until filing.

Can First-Time Abatement (FTA) waive the penalty?

No. FTA does not apply to §6038A penalties as a matter of IRS policy. Reasonable cause under IRC §6664(c) is the relevant relief mechanism.

Filing Mechanics

Where do I mail Form 5472?

Can I e-file Form 5472?

No. Foreign-owned disregarded entities cannot e-file. The IRS instructions explicitly prohibit electronic filing for this category. Mail or fax only.

Do I need to file Pro Forma 1120 too?

Yes. Form 5472 must be attached to a Pro Forma 1120 (a "blank" Form 1120 used as a transmittal cover sheet). The Pro Forma 1120 has only identifying information; income, deduction, and tax computation lines are blank.

What goes across the top of the Pro Forma 1120?

"Foreign-owned U.S. DE" written or typed across the top of page 1.

What is my tax payment?

For foreign-owned single-member LLCs with no US-source effectively connected income, no tax is owed. The Pro Forma 1120 has no tax computation. The form is informational only.

Do I need an EIN?

Yes. The LLC must have an EIN to file Form 5472. Apply via Form SS-4 by mail or fax (the online application is not available for foreign owners without an SSN/ITIN).

Do I need an ITIN?

Not required to file Form 5472 itself. The form requires the foreign owner's foreign taxpayer identification number (FTIN) from their country of residence. ITIN becomes relevant only if the LLC has US-source effectively connected income that requires Form 1040-NR.

Late Filing

I have not filed Form 5472 for past years. What do I do?

If the IRS has not contacted you, voluntary catch-up filing is the strongest path. File all unfiled years simultaneously with a written reasonable cause statement under IRC §6664(c). Mail to the dedicated Ogden address by certified mail.

The IRS sent me a notice. Now what?

For CP15 or CP215 penalty assessment notices, file Form 843 with a written reasonable cause statement under §6664(c). File the underlying late Form 5472 + Pro Forma 1120 if not previously filed. Send by certified mail to the address on the notice.

Should I file the most recent year only or all unfiled years?

File all unfiled years. The IRS computer systems flag the gap between recent filings and missing prior years. Filing only the most recent year often produces a notice for older years 6-18 months later.

How long does the IRS take to process late filings?

Single-year voluntary catch-up: 3-6 months. Multi-year catch-up: 6-12 months. Form 843 abatement requests: 6-9 months. The IRS does not provide acknowledgment of receipt; the certified mail receipt is your only proof.

What if my reasonable cause request is denied?

A denied request can be appealed to the IRS Independent Office of Appeals within 30 days of the denial letter. Your penalty exposure and the relief paths open to you sets out the options before it gets that far. Appeals offers a fresh review by a different examiner. Many initial denials are reversed at Appeals when the case is presented well.

Do I need to file BOI for my US LLC?

No, not for US-formed LLCs. As of March 26, 2025, FinCEN's interim final rule exempts all US-formed entities from BOI reporting. Foreign-owned US LLCs (formed in any US state) are exempt. Form 5472 obligations remain unchanged.

Did the BOI exemption affect Form 5472?

No. Form 5472 is administered by the IRS under IRC §6038A, independent of FinCEN's BOI rules.

Does FBAR apply to my US LLC?

Generally no. FBAR applies to US persons with foreign financial accounts. Foreign founders living outside the US are typically not US persons. The Mercury or Brex account held by the US LLC is a US account, not a foreign account. Form 5472 vs FBAR works through the distinction in full.

What about the 1% remittance excise tax?

The OBBBA 1% excise tax under IRC §4475 (effective January 1, 2026) applies to certain cross-border remittances from the US (cash, money order, cashier's check). Standard wire transfers, ACH, and Wise from US bank accounts are exempt. Most foreign founders distributing US LLC profits via wire or Wise do not face the excise.

What forms does the typical foreign-owned LLC actually need to file each year?

Form 5472 and the pro forma 1120, the federal information return due April 15. A state annual report or franchise tax, which varies by state. No BOI report, exempt as of March 2025. No FBAR, since the owner is typically not a US person. For LLCs with US-source effectively connected income, also Form 1040-NR filed by the foreign owner. Do I file Form 5472 if the LLC is dissolved?

Yes, for the final year of operations. Mark the Pro Forma 1120 as a "Final return" in Box A. The final filing covers the partial year through the dissolution date.

Does the form satisfy state-level requirements?

No. Form 5472 is a federal information return only. State-level requirements (annual reports, franchise taxes) are separate and continue to apply.

Can I prepare and file Form 5472 myself?

Yes for straightforward cases (single related party, no ECI, ordinary transactions). For complex cases (multi-year, multi-related-party, ECI questions, post-notice), CPA review is appropriate.

How do I prove I filed if the IRS says they did not receive it?

The certified mail return receipt is your proof. Keep it with copies of the filed packet. If the IRS challenges receipt, the certified mail tracking record establishes the filing date.
